Terms & Conditions

Agreement Overview

This End-User License Agreement ("Agreement") is a legal agreement between you ("User," "you") and [London Prime Produce] ("Company," "we," "our," or "us") governing your use of the mobile application and web platform ("App", "Platform").

By downloading, installing, or using the App, you agree to the terms of this Agreement. If you do not agree, do not use the App.

1. License Grant

Permitted Use

We grant you a limited, non-exclusive, non-transferable, revocable license to use the App and Platform solely for your internal business purposes related to:

  • Purchasing and managing food supply orders through our platform

  • Accessing your account information and order history

  • Communicating with our support team regarding your orders

  • Utilizing reporting and analytics features for your business operations

  • Managing user accounts within your organization

This license is personal to you and your organization and may not be assigned or transferred to any third party without our express written consent.

2. Usage Restrictions

Prohibited Activities

You expressly agree that you will NOT:

​

  • Reverse Engineering: Copy, modify, distribute, sell, or reverse engineer the App or any part thereof

  • Unauthorized Access: Attempt to gain unauthorized access to any portion of the App, other accounts, or computer systems

  • Malicious Use: Use the App for unlawful purposes or in violation of applicable laws and regulations

  • Security Violations: Share your login credentials or allow unauthorized persons to access your account

  • System Interference: Interfere with or disrupt the integrity or performance of the App or its data

  • Data Mining: Use automated systems to extract data from the platform without permission

  • Competitive Use: Use the App to develop competing products or services

Important Security Notice

Any violation of these restrictions may result in immediate termination of your license and legal action. You are responsible for maintaining the confidentiality of your account credentials.

3. Intellectual Property

All rights, title, and interest in and to the App, Platform, and related services, including but not limited to:

  • Software code, algorithms, and technical architecture

  • User interface design and user experience elements

  • Trademarks, logos, and brand elements

  • Documentation, help materials, and training content

  • Data structures, databases, and analytical tools

Remain the exclusive property of the Company and its licensors. This Agreement does not transfer any ownership rights to you.

4. Data & Privacy

Your use of the App is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal and business data. Key points include:

​

  • Data Collection: We collect information necessary to provide our services

  • Data Use: Your data is used to process orders, provide support, and improve services

  • Data Protection: We implement security measures to protect your information

  • Your Rights: You have rights regarding your personal data under applicable privacy laws

By using the App, you consent to the collection and use of your information as described in our Privacy Policy.

5. Software Updates

We may periodically provide updates, patches, or modifications to the App to:

​

  • Improve performance, security, or functionality

  • Fix bugs or address technical issues

  • Add new features or capabilities

  • Ensure compliance with legal or regulatory requirements

Continued use of the App after any updates indicates your acceptance of the modified version and any changes to this Agreement.

6. Termination

Termination by Company

We may suspend or terminate your access to the App immediately, with or without notice, if:

​

  • You breach any terms of this Agreement

  • Your account becomes inactive for an extended period

  • We suspect fraudulent or unauthorized activity

  • Legal or regulatory requirements necessitate termination

Termination by User

You may terminate this Agreement at any time by:

​

  • Discontinuing use of the App and Platform

  • Uninstalling the mobile application

  • Requesting account closure through our support team

Effect of Termination

Upon termination, you must immediately cease all use of the App and delete all copies from your devices. Certain provisions of this Agreement will survive termination, including intellectual property rights and limitation of liability.

7. Disclaimer of Warranties

Important Disclaimer

The App and Platform are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied.

We specifically disclaim:

​

  • Merchantability: Fitness for any particular purpose or use

  • Reliability: Uninterrupted, error-free, or secure operation

  • Accuracy: Completeness or accuracy of information provided

  • Compatibility: Operation with all devices, systems, or software

 

​You acknowledge that your use of the App is at your own risk and discretion.

8. Limitation of Liability

To the maximum extent permitted by applicable law:

​

  • We shall not be liable for any indirect, incidental, special, consequential, or punitive damages

  • Our total liability shall not exceed the amount paid by you for the services in the 12 months preceding the claim

  • We are not responsible for damages arising from third-party actions, system failures, or force majeure events

  • This limitation applies regardless of the legal theory upon which the claim is based

Liability Cap

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the greatest extent permitted by law.

9. Governing Law

This Agreement shall be governed by and construed in accordance with:

  • Governing Jurisdiction: The laws of England and Wales

  • Dispute Resolution: Courts of England and Wales shall have exclusive jurisdiction

  • Language: English shall be the controlling language for all matters

  • Severability: If any provision is deemed invalid, the remainder shall remain in effect

Any disputes arising from this Agreement shall be resolved through good faith negotiation, and if necessary, through the appropriate courts of England and Wales.

Acceptance of Terms

By clicking "I Agree," downloading, installing, or using our App, you acknowledge that you have read, understood, and agree to be bound by this End-User License Agreement.

If you do not agree to these terms, you must not use the App or Platform.
